Statement of Work

This Statement of Work (“SOW”) is entered into between:

Timelines are estimates and may be adjusted based on change requests, client delays or circumstances beyond NYRIC-AI's reasonable control.

A “revision” is a reasonable modification to an existing agreed deliverable. A revision does not include the creation of a substantially different design, feature or technical implementation.

Each deliverable will be evaluated against the following acceptance criteria:

The bug-fix period does not cover:

• New features or changes in requirements
• Third-party service failures
• Client modifications after delivery
• Issues in unsupported environments

Subject to full payment, ownership of project-specific deliverables identified as transferable will transfer to the Client as described in the Client Service Agreement.

NYRIC-AI retains ownership of its Background IP, including frameworks, libraries, reusable components and development methodologies, as described in Section 15 of the Client Service Agreement.

Unless agreed otherwise in writing, NYRIC-AI may display non-confidential project work in its portfolio and marketing materials after the project becomes publicly available.

If the Client requires the project to remain confidential, this restriction must be agreed in writing before project commencement.

This SOW does not include ongoing maintenance or support after the bug-fix period.

Maintenance, hosting, monitoring and feature development may be engaged through a separate SOW or agreement.

Any changes to the scope, deliverables, timeline or fees outlined in this SOW must go through the formal change request process defined in the NYRIC-AI Change Request Agreement.

NYRIC-AI is not required to begin additional work until the applicable change has been approved in writing.
